days per 16 CFR § 312.8. Minors 13–16 (state
thresholds): commercially reasonable deletion upon
notification of consent absence.
11. Biometric and Health Data
Biometric collection (smart lock facial
recognition/fingerprint) requires separate written
Biometric Data Consent Form disclosing: specific
identifiers, purpose, duration, sharing (if any),
retention period, and withdrawal rights. Facial
geometry: on-device secure enclave processing — raw
images never transmitted to Professional Remodeling Solution servers. Fingerprint
templates: one-way cryptographic hashing in lock local
memory only. Health information disclosed for
accessibility modifications stored in restricted-access,
field-level-encrypted file, deleted upon project
completion unless needed for warranty.
12. AI Transparency
AI applications: energy modeling (generating optimization
recommendations from audit database), cost estimation
(preliminary ranges from historical data), smart home
device learning (local edge devices only — no data to
Professional Remodeling Solution), computer vision quality control (analyzing
progress photos to flag issues for human review). AI
suggestions clearly labeled as starting points for human
professionals. No AI final decisions producing
significant legal effects without human review upon
request. Annual bias audits on client-facing models.
13. Mobile App Privacy
Location: precise GPS only with "Allow While Using"
permission — never "Always." Background collection:
never. Camera: only for photo uploads, revocable in
device settings. Photo Library: only when selecting
existing photos. Notifications: local (on-device, no
server transmission) for milestones; push (Firebase
Cloud Messaging, device token routing only — no personal

defect claim periods). Employment: 7 years
post-separation. Marketing Consent: 5 years. Security
Logs: 90 days hot, 1 year cold. Destruction:
cryptographic erasure (deleting AWS KMS keys, rendering
S3 data permanently unrecoverable), DIN 66399 P-4
physical shredding, degaussing plus destruction for

data, authenticated engineering access), Zendesk
(US-hosted support tickets, DPA), Mailchimp (US-hosted
email delivery, DPA). No personal data transferred
outside US jurisdiction except Cloudflare edge caching
of non-personal static assets internationally. Standard
Contractual Clauses under EO 14114 for any transfer
involving personal data.

1. Binding Agreement
These Terms form a binding contract between you
("Client") and Professional Remodeling Solution, a USA,4328 Wilkinson Street
Nashville, TN 37211. Govern
your use of our website, apps, portal, and all services:
interior design, exterior design, home decor, bathroom
remodeling, kitchen remodeling, fire/safety, solar, home
warranty, roofing, gutters, security. By accessing
platforms or engaging services, you represent: 18+ years
old, legal capacity, property owner or documented
authorization, agreement to these Terms. Proposed
modifications contradicting these Terms are rejected
without our written consent.
2. Service Descriptions
Interior Design: biophilic spatial planning, sustainable
material sourcing, natural light optimization, indoor
air quality engineering, 3D visualization, styling.
Exterior Design: sustainable facades, reclaimed/recycled
materials, permeable paving, native landscaping, passive
solar orientation. Home Decor: Fair Trade furnishings,
GOTS-certified textiles, upcycled art, vintage
restoration. Bathroom: WaterSense fixtures (30-50%
reduction), recycled glass tile, low-VOC waterproofing,
radiant heating, natural ventilation. Kitchen:
FSC-certified formaldehyde-free cabinetry, recycled
quartz, Energy Star appliances, induction cooking,

Progress payments per milestone schedule. Final payment
10-15% upon Substantial Completion. Late: 1.5%/month
after 5 business days. Accepted: Visa, MC, Amex,
Discover, ACH, cashier's check, personal check (10-day
clearance). Financing: LightStream, SoFi, credit unions
— Professional Remodeling Solution is not a lender. Price Match: licensed
competitor quote for identical scope + 5% loyalty
discount. Our estimate exceeds final cost from our
error: we refund difference.
4. Scheduling and Delays
Estimates are projections, not guaranteed dates, unless
Time-of-the-Essence addendum with premium fee. Delay
factors: weather, supply disruptions, permit delays,
unforeseen conditions (asbestos, lead, concealed damage,
code violations), HOA delays, client decision delays,
utility interconnection timelines, labor availability.
Notification within 24 hours. Delay Credit: if >10
business days from Professional Remodeling Solution negligence (excluding listed
factors), 3% credit per additional week up to 15%.
Termination right if >90 days primarily attributable to
Professional Remodeling Solution.
5. Change Orders
Every scope modification requires formal Change Order
before work proceeds: unique number, date, initiating
party, description, rationale, cost impact (line-item),
timeline impact, material lead time, dual signatures. No
verbal/text/email/informal changes are binding. Batch
small changes periodically. Unforeseen conditions:
immediate stoppage, documentation, Change Order, your
approval. Disputes over "unforeseeable" vs
"reasonably foreseeable" resolved through mediation
(Section 13).
6. Client Responsibilities
Access: unrestricted during agreed hours, all credentials
before start. Preparation: remove belongings from work
zones (or separate estimate). Pets: secured away during
work. Hazard Disclosure: asbestos, lead, mold, radon,
buried utilities, unpermitted work, structural defects,
water intrusion, pest infestation — failure may result
in additional charges/liability. Decisions: within
specified timeframes — delays are Client-caused. HOA:
provide applications/guidelines timely.
7. Warranty
Standard: 10 years from Substantial Completion covering
workmanship defects (installation errors, connection
failures, waterproofing defects, finish defects not from
normal wear/maintenance/environmental exposure beyond
spec). Premium: lifetime ownership for Premium Tier plus
structural — non-transferable. Extended Structural: 25
years for structural modifications. Exclusions: normal
wear, misuse, negligence, natural disasters, pests,
environmental degradation beyond spec, third-party
material defects (we facilitate manufacturer warranty),
unauthorized modifications, accepted Final Walkthrough
issues. Claims: warranty@professionalremodelingsolution.com within 30 days
— inspection within 10 business days, remediation at no
cost, unresolved after two attempts → independent
contractor at our expense or pro-rated credit.
8. Liability Limitation
TO MAXIMUM EXTENT PERMITTED BY LAW, Professional Remodeling Solution SHALL
NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL,
SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES REGARDLESS OF
THEORY. EXCLUDES: loss of use, revenue, profits,
accommodation, emotional distress, personal property
damage, attorneys' fees (except arbitrator-awarded).
TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED TOTAL AMOUNT
YOU PAID FOR THE SPECIFIC SERVICE AGREEMENT. THIS CAP IS
A MATERIAL INDUCEMENT AND AGREED RISK ALLOCATION.
9. Indemnification
You defend, indemnify, and hold harmless Professional Remodeling Solution and all
affiliates from all claims/damages/costs/expenses
(including attorneys' fees) arising from: your Terms
breach; negligence/misconduct by you/household/guests;
failure to disclose hazards; third-party claims
(co-owners, tenants, neighbors, HOA); authorization
disputes; law violations at your direction; IP
infringement by your materials/designs. Survives
completion, termination, warranty expiration, property
transfer.
10. Insurance
CGL: $5M/$10M (Zurich). Professional Liability: $5M/$10M
(Travelers). Workers' Comp: statutory + $2M Employer's
Liability (Liberty Mutual). Auto: $3M CSL (Progressive).
Umbrella: $15M following form (Chubb). Inland Marine:
$2M. Subcontractors: equivalent coverage, Professional Remodeling Solution
additional insured. Certificates:
insurance@professionalremodelingsolution.com. Verify homeowner's insurance
adequacy before construction.
11. Cancellation
Federal Cooling-Off: 3 business days for agreements
signed at your residence, no penalty. Pre-Start: 8% or
$400, whichever greater. Within-14-Days: 20%.
Within-7-Days: 30%. Post-Commencement: labor at
published rates + 25% overhead, all ordered/fabricated
materials at cost + 15%, permits, subcontractor charges,
custom millwork in any production stage, $3,000 admin
fee. Refund within 30 business days. Professional Remodeling Solution-initiated:
full refund within 15 days + $750 credit.
12. Permits and Codes
Professional Remodeling Solution assumes full responsibility: obtaining all permits,
paying fees (unless otherwise stated), scheduling
inspections, addressing corrections, resolving
interpretation disputes, obtaining Certificates of
Occupancy/Completion. Compliance with IBC, IRC, NEC,
IPC, IMC, IFC, IECC, EPA RRP Rule, OSHA,
ADA/accessibility codes. Our-error non-compliance:
corrected at our expense. Code-change non-compliance:
most cost-effective path, potentially via Change
Order.
13. Dispute Resolution
Step 1 — Direct Resolution (30 days): you and Project
Manager, escalate to VP Client Experience. Step 2 —
Mediation (60 days): non-binding through JAMS, costs
split equally. Step 3 — Binding Arbitration: JAMS
Comprehensive Rules, single arbitrator with construction
background, in project county or your residence (your
election). Arbitrator may award any available relief.
Costs: Professional Remodeling Solution pays all fees for claims ≤$100K; split for
>$100K unless improper purpose. JURY TRIAL WAIVER AND
CLASS ACTION WAIVER APPLY. Provisions survive
termination and warranty expiration.
14. Intellectual Property
Professional Remodeling Solution-originated designs, plans, renderings, software,
brand elements, trade secrets remain Professional Remodeling Solution's property
until full payment. Upon payment, project-specific
deliverable ownership transfers to you, subject to
restrictions: no
reproduction/distribution/sale/commercial exploitation
for other properties without written consent. Portfolio
License: perpetual, royalty-free license for Professional Remodeling Solution to
use photographs/descriptions for marketing — opt out
within 30 days for identifiable imagery. Trademarks:
"Professional Remodeling Solution" and all marks are Professional Remodeling Solution's exclusive
property.
15. Force Majeure
No liability for failure/delay from: natural disasters,
pandemics with quarantines/travel restrictions,
government actions (orders, mandates, moratoriums, trade
restrictions, tariffs >25%, sanctions), terrorism, war,
civil insurrection, labor disputes (not our employees),
supply chain disruptions, utility failures, severe
weather, permitting delays from government closures.
Written notice within 5 business days. Commercially
reasonable mitigation. Termination if event exceeds 120
consecutive days with pro-rated refund less reasonable
costs.
16. Materials
Specifications from vetted sustainable supply network.
Criteria: quality (ASTM/ANSI standards), sustainability
(FSC, recycled content, low embodied carbon), ethical
labor (ILO standards), traceability, aesthetic
consistency. Substitution: unavailable materials trigger
notification + equivalent/superior quality options via
formal Change Order. Client-Supplied Materials:
workmanlike installation, no material warranty, you
assume all risk. Escalation: projects >90 days may
include ≤8% material cost adjustment with documented
supplier increases requiring written approval beyond
that threshold.
17. Site Protection and Environmental Practices
Pre-Construction: Ram Board floor protection, 6-mil
plastic over HVAC/fixed items, 3M film on windows/doors
near work, exterior ground protection. Dust Containment:
ZipWall barriers, negative air machines with HEPA
filtration (99.97% at 0.3 microns), vacuum-assisted dust
collection. Hazardous Materials: immediate stoppage,
isolation, certified abatement at our cost if not
previously disclosed. Site Safety: OSHA-compliant fall
protection, scaffolding, PPE, hazard communication.
Environmental: precise material ordering, five-stream
waste sorting (wood, metal, drywall, cardboard, other)
for recycling, low-VOC finishes standard, waste
diversion tracking via app with post-project report.
Post-Construction: comprehensive debris removal,
vacuuming/mopping, window cleaning, protective covering
removal, Final Walkthrough with Punch List within 5
business days.
18. Subcontractor Management
Selection: active state license, insurance verification
(GL, workers' comp, professional liability) with Professional Remodeling Solution
additional insured, 5+ years history, 3+ references,
safety record evaluation, capability assessment, Master
Subcontractor Agreement with all relevant Terms
provisions. Professional Remodeling Solution is prime contractor with full
responsibility. All coordination through your Project
Manager. QA: pre-installation material verification,
in-progress phase-transition inspections, digital photo
documentation at every checkpoint, independent QA
inspector review before your Final Walkthrough.
Underperformers removed from approved list.
19. Fair Housing and Anti-Discrimination
Compliance with Fair Housing Act, Title VI, ADA, Age
Discrimination Act, Section 504, all state/local human
rights laws. No discrimination on any protected
characteristic (race, color, religion, sex, sexual
orientation, gender identity, national origin, familial
status, disability, age, marital status, source of
income, veteran status, genetic information) in any
aspect. Accessibility design training per ADA Standards,
ICC A117.1, state codes. Report:
compliance@professionalremodelingsolution.com or +1 843-249-7437 —
investigated promptly, confidentially, without
retaliation.
20. General Provisions
Governing Law: USA, unless project state
provides greater consumer protection — that state
applies. Venue: exclusive in Mecklenburg County, NC
courts. Personal jurisdiction consented. Severability:
invalid provisions modified minimally or severed;
remaining continue. Waiver: no failure to enforce
constitutes waiver; waivers written and signed. Entire
Agreement: these Terms + executed Service Agreements +
Change Orders + addenda supersede all prior
communications. Assignment: you may not assign without
consent; we may assign to
affiliates/successors/purchasers of substantially all
assets if assignee assumes obligations. Notices: written
via certified mail (return receipt), overnight courier,
or email (read receipt) to addresses herein; deemed
received upon actual delivery or 3 business days after
certified mailing. Survival: warranty, liability
limitation, indemnification, IP, dispute resolution, and
general provisions survive completion, termination,
warranty expiration, and property transfer.
